Acceptance of Terms

By accessing ShermanLive.com, requesting a consultation, submitting an intake form, or making a payment, you confirm that you have read, understood, and agreed to these Terms and Conditions in their entirety. These Terms apply to all visitors, prospective clients, and active clients.

If you are entering into these Terms on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

Services Offered

ShermanLive.com provides website design, local Search Engine Optimization (SEO), Google Business Profile (GBP) management, and related digital marketing services to small businesses and professional service providers across North America.

Subscription-based services offered under the SiteStack product are governed by a separate Terms of Service document provided at the time of purchase. Where those terms conflict with these Terms, the SiteStack Terms of Service take precedence for subscription clients.

We reserve the right to refuse service to any prospective client at our sole discretion, without obligation to provide a reason.

Intellectual Property

The ShermanLive.com website — including its content, design, brand identity, methodology names (SiteStack, ACE, AIM, CSB, CAPs), copy, images, and system documentation — is the exclusive intellectual property of Sherman Hu operating as ShermanLive.com and is protected by Canadian and international copyright law.

You may not reproduce, distribute, modify, republish, or commercially exploit any content from this website without express written permission. You may share links to this website and quote brief passages for non-commercial purposes with attribution.

Work product we create for clients (websites, copy, content, SEO deliverables) is licensed to the client as described in the applicable service agreement. We retain the right to display client work in our portfolio unless explicitly agreed otherwise in writing.

Client Content

By providing us with content including text, images, logos, video, and brand assets, you represent and warrant that:

• You own or have the legal right to use all content you provide
• The content does not infringe the intellectual property rights of any third party
• The content does not contain defamatory, misleading, or unlawful material
• You grant us a non-exclusive licence to use the content solely for the purpose of delivering your agreed services

We are not responsible for any legal claims arising from client-provided content.

Payment and Billing

Fees for services are agreed upon before work commences and confirmed in writing via email or service agreement. All prices are in USD unless otherwise stated. Payment is processed securely via Stripe.

• Subscription services are billed monthly for the duration of the agreed term
• Project-based fees are invoiced as agreed — typically 50% upfront and 50% on completion unless otherwise arranged
• Late payments may result in a pause of service delivery after a 7-day grace period
• All sales are final unless a specific refund or satisfaction guarantee is stated in your service agreement

Dispute resolution for billing matters should be directed to hello@shermanlive.com in the first instance.

Confidentiality

We treat all client information — business details, strategies, financials, and communications — as strictly confidential. We will not disclose your information to third parties except as required to deliver your services (e.g. hosting providers, form processors) or as required by law.

We ask the same of our clients: our pricing, methodologies, proprietary systems, and internal processes are confidential and should not be shared publicly or with competitors without our written consent.

Third-Party Links and Services

ShermanLive.com may contain links to third-party websites and reference third-party tools and platforms including Google, Stripe, Netlify, JotForm, and others. We have no control over and assume no responsibility for the content, privacy policies, availability, or practices of any third-party site or service.

We strongly advise you to review the terms and privacy policies of any third-party services you engage with through or alongside our services. The presence of a link or reference on our website does not constitute an endorsement.

Disclaimer of Warranties

Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law provisions.

Any disputes arising from these Terms will first be addressed through good-faith communication between both parties. If a resolution cannot be reached within 30 days, disputes will be submitted to binding arbitration in Chilliwack, British Columbia, in accordance with applicable BC arbitration rules. You agree to submit to the personal jurisdiction of the courts located in British Columbia for any matters not subject to arbitration.

Changes to These Terms

We reserve the right to modify these Terms and Conditions at any time. When we do, we will update the "Last Updated" date at the top of this page. For material changes affecting active clients, we will provide at least 14 days notice via email before changes take effect.

Your continued use of ShermanLive.com or our services after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you should discontinue use of this website and notify us to discuss your service agreement.
